Public Agreement (Offer)

This document constitutes the Seller's official public offer to conclude a sales contract for the Goods presented on the website https://dukhmian.com/ (hereinafter — the "Site") on the terms of distance selling.
The contract is deemed concluded at the moment the Buyer clicks the "Place Order" button on the checkout page and receives electronic confirmation from the Seller. These actions constitute full and unconditional acceptance of the terms of this Agreement and the information published on the Site.
This Agreement governs the sale of Goods through the online store in accordance with Articles 633, 641, and 642 of the Civil Code of Ukraine, the Law of Ukraine "On Electronic Commerce," and the Rules for the Sale of Made-to-Order Goods approved by Order No. 103 of the Ministry of Economy of Ukraine of 19 April 2007.
1. Definitions
1.1. Public Offer (Offer) — the Seller's public proposal, addressed to an indefinite group of persons, to conclude a sales contract on the terms of distance selling.
1.2. Goods — the products presented on the Site that the Buyer has selected for order.
1.3. Online store — the Seller's website at https://dukhmian.com/.
1.4. Buyer — a natural person who has reached 18 years of age, or a legal entity or individual entrepreneur placing an order for Goods.
1.5. Seller — individual entrepreneur Semen Olehovych Sydorak, Individual Taxpayer Number (РНОКПП) 3714503395, registered address: 5 Konovaltsia St., Apt. 2, Stryi, 82400, Lviv Region, Ukraine.
2. Subject of the Agreement
2.1. The Seller undertakes to transfer ownership of the ordered Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods on the terms of this Agreement.
2.2. The moment of acceptance of the Offer is the date on which the Buyer completes the checkout form, clicks "Place Order," and receives electronic confirmation.
2.3. Images of the Goods on the Site are for illustration only. Minor differences in appearance (shade, density, length) do not constitute grounds for the return of Goods of adequate quality.
3. Placing an Order
3.1. Orders are placed via the electronic form on the Site.
3.2. The Buyer may order any Goods available on the Site.
3.3. If Goods are out of stock, the Seller shall notify the Buyer within 24 hours. The Buyer has the right to substitute the Goods, extend the fulfilment period, or cancel the order.
3.4. When placing an order, the Buyer indicates: surname and first name, contact phone number, email address, delivery address (including country), and the name, quantity, and price of the selected Goods (filled in automatically).
3.5. The Seller is not responsible for the accuracy of the information provided by the Buyer. The Buyer bears full responsibility for such information.
3.6. The distance sales contract is deemed concluded at the moment the Buyer clicks the "Place Order" button and receives electronic confirmation or a fiscal receipt.
4. Price of the Goods
4.1. Prices on the Site are displayed in the currency established for the relevant sales region (Ukrainian hryvnia, UAH, for Ukraine, and local currencies — EUR, USD, PLN, CZK, HUF, RON, DKK, SEK, CAD — for international markets).
4.2. The Seller reserves the right to change prices at any time prior to the placement of an order without prior notice.
4.3. The final price is the price fixed on the checkout page at the moment the "Place Order" button is clicked.
4.4. Shipping costs are calculated separately at the checkout stage depending on the selected carrier, destination country, and basket total.
5. Payment
5.1. Payment is made exclusively through the Hutko payment service, which is the sole unified payment provider for the Ukrainian and international markets.
5.2. Accepted payment methods are Visa and Mastercard bank cards (domestic and international), as well as Apple Pay and Google Pay contactless payment methods — within the functionality provided by Hutko.
5.3. Settlement is made in the currency established for the relevant sales region. Currency conversion (where necessary) is performed by the Buyer's card-issuing bank at its own exchange rate.
5.4. The Seller may unilaterally change prices at any time; however, the price of a unit of Goods fully paid for by the Buyer may not be unilaterally changed by the Seller after the order has been placed.
5.5. The Buyer's payment obligation is deemed fulfilled at the moment the funds are credited to the Seller's current account.
5.6. The fiscal receipt is generated automatically by the Checkbox service (integrated with Hutko) and is sent to the Buyer's email address.
5.7. In the event of non-payment, partial payment, or late payment, the Seller reserves the right to suspend or cancel the order without liability for the consequences that may arise.
6. Delivery
6.1. Delivery within Ukraine is carried out through LLC "Nova Poshta" (to a branch, parcel locker, or by courier to an address).
6.2. International delivery is carried out through JSC "Ukrposhta" and partner local operators in destination countries.
6.3. The Seller does not deliver to the Russian Federation or the Republic of Belarus due to the Russian Federation's armed aggression against Ukraine. Orders to these countries are not accepted.
6.4. Delivery times are estimates and depend on the carrier. The Buyer agrees to the delivery terms at the checkout stage.
6.5. Upon receipt of the Goods, the Buyer is required to check the name, quantity, completeness, and integrity of the packaging in the presence of the carrier's representative.
6.6. Signing the waybill or electronically confirming receipt of the Goods means that the Buyer has no claims regarding the quantity and appearance of the Goods.
6.7. Title to the Goods, as well as the risk of accidental loss or damage to the Goods, passes to the Buyer at the moment the Goods are handed over to the Buyer or their representative at the point of delivery.
7. Rights and Obligations of the Parties
7.1. The Seller undertakes not to disclose the Buyer's private information to third parties, except in cases stipulated by the laws of Ukraine or necessary for the fulfilment of the order.
7.2. The Seller undertakes to ship the ordered and paid-for Goods in a timely manner.
7.3. The Seller undertakes to inform the Buyer of the order fulfilment status.
7.4. The Seller has the right to refuse to fulfil an order in the event of non-payment or force majeure.
7.5. The Seller has the right to unilaterally make changes to this Agreement and to prices by publishing the changes on the Site. All changes take effect from the moment of publication.
7.6. The Seller has the right to refuse a sale if the Goods are unavailable.
7.7. The Seller is not liable for the improper use of the Goods after delivery, or for damage caused by the Buyer's failure to follow the Goods' safe-use recommendations.
7.8. The Buyer undertakes to familiarise themselves with this Agreement and the terms of payment and delivery before placing an order.
7.9. The Buyer undertakes to provide accurate information when placing an order.
7.10. The Buyer undertakes to pay for the order in a timely manner and to accept the Goods at the point of delivery.
7.11. The Buyer has the right to return or exchange Goods in accordance with the Law of Ukraine "On Consumer Rights Protection" and the Seller's Refund Policy.
8. Force Majeure
8.1. The Parties are released from liability for non-performance or improper performance of their obligations under this Agreement for the duration of force majeure circumstances.
8.2. Force majeure circumstances are extraordinary and unavoidable events that make it impossible for the Parties to fulfil their obligations, in particular: natural disasters (earthquakes, floods, fires); military and socio-political events (war, martial law, combined attacks, blackouts, emergency situations, mass strikes, epidemics); prohibitive acts of state authorities (transport restrictions, currency restrictions, international sanctions); other circumstances beyond the Parties' control.
8.3. During the period of force majeure circumstances, the Parties have no mutual claims against each other. The Seller informs the Buyer of the delay within a reasonable period and offers new terms or a full refund.
9. Information Processing
9.1. The collection, processing, and use of the Buyer's personal data are carried out in accordance with the Privacy Policy published on the Site.
9.2. The Seller undertakes not to disclose information received from the Buyer. It is not considered a breach to transfer information to counterparties and third parties acting on the basis of a contract with the Seller (carriers, payment service, fiscalisation service) for the purpose of order fulfilment, as well as to transfer information in cases provided for by the laws of Ukraine.
9.3. The Buyer is responsible for keeping their personal data up to date. The Seller is not liable for improper performance of obligations caused by the Buyer's outdated data.
10. Liability of the Parties
10.1. The Seller does not guarantee the unconditional fulfilment of every order. The Goods are supplied "as is." The technical systems used (Site, payment service, delivery services) may contain undetected errors, which may affect order fulfilment.
10.2. In the event that the Seller is unable to fulfil, or delays in fulfilling, obligations (except in cases of force majeure), the Seller's liability is limited to the amounts received from the Buyer as payment for the Goods.
10.3. Under no circumstances may the Seller's financial liability exceed the amount received from the Buyer for the Goods.
10.4. All intellectual property items posted on the Site (texts, photographs, design, logo, corporate identity, names of Goods, regional maps, audio) belong to the Seller. Copying, reproduction, or use without the Seller's written consent is prohibited.
11. Miscellaneous
11.1. This Agreement is concluded on the territory of Ukraine and is governed by the laws of Ukraine.
11.2. Disputes between the Buyer and the Seller shall be resolved through negotiations. If no agreement is reached, disputes shall be heard in the courts of Ukraine in accordance with the laws of Ukraine (for consumers — also at the Buyer's place of residence in accordance with the Law of Ukraine "On Consumer Rights Protection").
11.3. The Seller has the right to make unilateral changes to this Agreement in the manner provided for in clause 7.5. Changes may also be made by mutual agreement of the Parties in accordance with applicable law.
11.4. If any provision of this Agreement is found to be invalid, the remaining provisions shall remain in full force.
